Terms of service

Last updated: 7 May 2026 · Governing law: England and Wales

1. Agreement

These terms govern access to Vanguard Select websites, registration flows and associated recruitment services. By creating an account, submitting an application or accessing the principal portal, you agree to this agreement and our privacy policy.

2. What we provide

Vanguard Select facilitates introduction and placement support between vetted close-protection operatives and qualified principal organisations. We are not the employer of record for operatives unless separately contracted in writing. Commercial engagement for deployments remains between operative and principal except where we explicitly administer a billing arrangement.

3. Operative (candidate) obligations

4. Principal (client) obligations

5. Accounts and approval

We may refuse, suspend or terminate accounts that present fraud risk, regulatory conflict or abuse of staff or candidates. Principal onboarding remains subject to Vanguard Control approval.

6. Fees

Candidates are not charged platform registration fees for standard access. Principal fees for search, placement or retainer services are set out in separate fee schedules and engagement letters. VAT applies where appropriate.

7. Intellectual property

Platform software, branding and structured dataset compilations remain our property or our licensors’. You retain ownership of content you upload; you grant us a licence to process it for recruitment purposes.

8. Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law. Otherwise, our aggregate liability arising out of platform services in any twelve-month period is limited to the greater of one hundred pounds sterling or fees actually paid by the principal user to Vanguard Select for that period (excluding pass-through operative remuneration). We are not liable for consequential loss, lost profits, or deployment outcomes once an introduction is made—field risk sits with retaining parties.

9. Indemnity

You indemnify us against claims arising from misrepresentation in your profile, unlawful processing by you of candidate data, or breach of principal confidentiality duties.

10. Suspension and termination

Either party may terminate portal access with reasonable notice where no active mandate exists. We may suspend access immediately for security incidents or suspected breach.

11. Disputes

Courts of England and Wales have exclusive jurisdiction. Optional mediation may precede litigation where commercially sensible.

12. Changes

We may amend these terms; material changes will be notified via portal banner or email where feasible. Continued use after the effective date constitutes acceptance.
